Background / General description:
The International Finance Corporation (IFC), the private sector arm of the World Bank Group, promotes sustainable private sector development in developing countries. 

The Legal Department of IFC (CLED), under the General Counsel, is responsible for providing legal and policy advice to the IFC Board, its Management and client departments on operational, advisory and corporate matters. Specifically, CLED supports client departments in (i) the delivery of IFC’s annual program of financing private sector projects in emerging markets; (ii) project portfolio management (including jeopardy projects and projects in litigation); (iii) the delivery and design of structured finance products, sub-national lending, equity and quasi-equity, public-private partnerships, and carbon finance transactions; (iv) advising on corporate policy and operational matters such as operating policies and procedures and Anti-Money Laundering and Combating the Funding of Terrorism; and (v) knowledge management and training. 

To support IFC’s investment activities in emerging financial markets, CLED is recruiting a qualified Counsel, to be based in Washington, D.C.
Duties and Accountabilities:
- Provides advice and support to IFC’s Global Financial Markets Department relating to diverse financial markets investment transactions, including structured transactions designed to allocate risks over pools of assets, asset securitizations, structured guarantees and debt and equity transactions.

- Assumes primary lawyer responsibility for assigned projects; drafts complex, non-standard agreements and other documents.

- Provides sound and practical advice, recommendations and solutions to complex legal, policy and deal structuring issues.

- Takes initiative to share professional knowledge, skills and values (e.g., through presentations to colleagues and internal clients both in Washington and in regional offices.
Selection Criteria:
- Qualified to practice law in one or more jurisdictions.

- At least 5 years of relevant transactional/work experience in finance and structured finance with a well-recognized international law firm, global bank or international financial institution.

- Willingness to assume multiple roles and tasks to meet changing business needs with an ability to foresee, troubleshoot and resolve conflicting issues and challenges.

- Ability to handle independently complex transactions.

- Ability to assess risk in a practical and responsible manner and to make fair, well-reasoned, independent and transparent decisions.

- Excellent client service and interpersonal skills, proven ability to work sensitively in a multicultural environment and to build effective working relationships with clients and colleagues across IFC.

- Professional integrity and sound judgment in handling sensitive or confidential information.

- Excellent communication skills in English; at least one other regional language a plus.

- Willingness to travel.
