The Legal Department of the Nederlandse Financierings-Maatschappij voor Ontwikkelingslanden N.V. (FMO) is searching for a:

Legal Counsel

A proactive teamplayer

FMO’s Legal Department consists of the Director Legal Affairs, two teams of legal counsels and legal assistants, and the secretariat. The legal counsels at FMO deal with approximately 190 transactions a year and play an important role in FMO’s activities. Each team of legal counsels is supervised by a Manager who also executes transactions.

We are looking for a fulltime Legal Counsel for the FPF-team advising the business departments Financial Institutions, Private Equity & Financial Markets. This team currently consists of 6 counsels and 1 legal assistant. One of the counsels is moving to another position within the FMO.

Role

The Legal Counsel negotiates and reviews drafting of various finance and fund documents in cooperation with external international and local legal advisors. This entails mostly equity fund participations and financing. The nature of the work is highly transactional and international. The Legal Counsel will report to the Manager FPF-team.

Furthermore, the Legal Counsel is heavily involved in the structuring of deals. While protecting FMO’s interests, he or she will negotiate, manage and execute these deals. The Legal Counsel will also be a sparring partner for commercial colleagues, clients and lawyers.

Profile

  • A master’s law degree in Dutch law (or a comparable foreign law degree).
  • Knowledge of debt financing and/or equity funds is required. Knowledge of English law and the laws of the State of New York is an advantage. General corporate and banking expertise will be helpful.
  • Between 5 and 7 years of relevant experience in ‘debt finance’ and/or ‘equity funds. Transactional experience at an international law firm would be a plus.
  • Proficient in the English language, both verbally and in writing.
  • A team player with an international attitude, down to earth, pragmatic, pro-active and result-oriented with considerable project management and social skills.
