TRANSACTIONAL ATTORNEY, LEGAL AFFAIRS

The mission of the Legal Affairs Division is to support PATH's mission by (1) collaborating with clients to provide strategic, best-practice, efficient legal counsel and education, including transactional and other legal support, and (2) providing overall guidance to enhance legal compliance and minimize risk, all with the utmost integrity. The Division currently consists of a general counsel, six attorneys, three paralegals, and a three-person administrative support team.

The attorney will work primarily on transactional legal matters in support of multiple PATH Global Program teams potentially including Technology Solutions, Maternal Child Health and Nutrition, Reproductive Health, and Vaccines. There may also be opportunities to provide legal services to our Field Programs. Working closely with multiple program leaders, she/he will be responsible for addressing programmatic legal matters and will report to PATH’s General Counsel. Specific responsibilities include:

  • Draft agreements including collaborative research and development agreements, clinical study agreements, manufacturing and supply agreements, commercialization agreements and and other technology-supportive third party agreements.
  • Team with Program Commercialization teams in negotiation of agreement terms.
  • Work with Program teams to establish strong public-private partnerships meeting the mission of PATH.
  • Manage scope and interaction with outside counsel in coordination with PATH General Counsel and Program Leaders as appropriate.
  • Ensure cost-effective provision of legal services in a timely and effective manner.
Required Skills
  • Excellent written and verbal skills.
  • In depth understanding of intellectual property driven transactions.
  • Strong background in intellectual property matters (related to the pharma/life science practice preferred but not required).
  • Ability to synthesize and clearly convey legal concepts and language to non-lawyers.
  • Ability to work in fast-paced team environment.
  • Ability to work effectively in multi-cultural environment.
  • Ability to travel domestically and internationally up to 25%.
Required Experience

J.D. plus a minimum of five years' experience to include: experience providing legal counsel to companies engaged in technology or life-sciences collaborations (involving pharmaceutical, biotech, or biomedical firms preferred but not required), and transactional experience in drafting agreements addressing complex technology collaborations and intellectual property licensing; or an equivalent combination of education and experience. Licensed to practice law in the state of Washington preferred.
