The partners are among the most experienced US corporate and securities lawyers practicing in their respective markets.   Role Summary   We are looking for one US Securities lawyer with excellent securities and M&A experience. Most of the work will have an international dimension and will include some of the largest and most complex transactions. Most of the work will have an international dimension and will include some of the largest and most complex transactions. The corporate group has a strong and supportive team spirit and a training, know-how and support infrastructure which is second to none. Key Responsibilities and Deliverables Handle a large number of private and SEC-registered debt and equity offerings Acting on a wide range of restructuring transactions, de-mergers and spin-offs Advising non-US clients on the US securities aspects of public M&A transactions Advising non-US clients on preparation of SEC filings on a wide range of issues relating to ongoing compliance with US securities law Acting for US and European companies and investment banks on equity and high yield debt transactions Public and Private M&A transactions Key Requirements JD class of 2008 or more senior, New York qualified with a top class academic record High quality lawyer with strong technical and commercial background Experience at a leading practice in Hong Kong, London or the US Have worked on high profile, complex securities and M&A transactions Fluent Mandarin required Competencies Strong technical and commercial abilities Able to work effectively as part of a team and supervise more junior lawyers Highly effective communicator (both orally and in writing) Able to take on a high degree of responsibility and manage a challenging workload Be proactive and committed to providing an excellent service to our clients The above job description is a guide to the work you my be required to undertake but does not form part of your contract of employment and may change from time to reflect changing circumstances.
