Key Responsibilities & Deliverables
· Assist
and advise clients (the majority of whom will be regulated entities in
the securities, finance or insurance sectors or listed corporates) in
relation to all aspects of regulation applicable to them including:
o Licensing and authorisation
o Conduct of business rules
o Disciplinary and market misconduct
o Disclosure of interests under part XV Securities and Futures Ordinance
o Market regulation, including the Listing Rules, the Takeovers and Share Repurchase Codes and the Rules of the HK Stock Exchange.
o Product structuring and Prime brokerage agreements.
· Provide
ad hoc advice/support to the Corporate and Finance practice groups re
any discrete regulatory issues arising on transactions.
· Support the Dispute Resolution department on contentious regulatory matters and disputes.
· Review/comment on consultation papers directly for clients or corporate/finance/ dispute resolution practice.
· Build
good relationships with clients and fellow professionals which
contribute to winning new work. Cross refer work to other practice areas
and actively market to win new clients.
· Contribute to training seminars and practice group meetings by preparing/giving presentations and/or writing articles.
· Support
more junior lawyers by providing guidance, training and answering
questions on know-how. Contribute materials to the Infobank.
· Contribute to the use of IT as a knowledge management tool.
Requirements
· Hong Kong or commonwealth qualified with strong academics.
· Strong technical skills and regulatory experience.
· Knowledge of or familiarity with international regulatory issues will be viewed favourably.
· Solid experience gained in the regulatory practice of a highly reputable firm.
· Strong
understanding of the Hong Kong regulatory framework is essential; (in
particular, the Securities and Futures Ordinance, Banking Ordinance,
Insurance Companies Ordinance, Companies Ordinance, Rules – Hong Kong
Stock Exchange, Takeover Code and Listing Rules.
· Established
contacts with the Hong Kong regulators (the Securities and Futures
Commission, the Hong Kong Monetary Authority, the Insurance Authority)
will be viewed favourably
· Consideration
will also be given to candidates from London or Australia with strong
regulatory experience and an understanding of the relevant regulations
in the relevant jurisdiction (in particular, London – Financial Services
and Markets Act; Australia – Corporations Act).
· Ability
to work independently with little supervision in relation to regulatory
matters but also be a team player in the context of supporting internal
corporate, finance and dispute resolution transactions. The incumbent
should be comfortable in the role of being one of the most senior
regulatory specialist within the Hong Kong office.
· Willingness to handle a wide-ranging role from handling complex transactions to more routine inquiries.
· Fluency in English is essential with ability to speak/read/write Chinese preferred.
