The Legal Affairs division supports PATH's work by providing strategic legal counsel, education, and guidance to enhance compliance and minimize risk. The division consists of a general counsel, seven attorneys, four paralegals and a four-person administrative support team.
We are currently seeking a Transactional Paralegal who will work with various attorneys in the Legal Affairs division supporting clients throughout PATH. Under the supervision of the attorneys, specific responsibilities include:
- Review, draft, and negotiate agreements such as confidential disclosure and material transfer agreements, leases and simple amendments.
- Help proof, format, and prepare legal documents, such as memoranda, e-mails, contracts, and letters.
- Collaborate with team members to provide comprehensive legal services to PATH clients.
- Undertake research relating to laws, regulations, judicial decisions, legal articles, and other materials as requested by attorneys.
- Work on various Legal Affairs division projects, such as templates, reports, and forms.
- Assist in the development and preparation of client training materials and client-facing intranet tools.
- Copy, file, and distribute legal documents.
- Contract drafting and negotiation skills.
- Understanding of contract and legal terminology and concepts.
- Strong research, analytical, and investigative skills; ability to document and present findings to attorneys.
- Ability to conduct legal research and to communicate effectively, both orally and in writing.
- Excellent proofreading ability and very strong attention to detail.
- Well organized, flexible attitude, and a desire to continually learn new concepts.
- Ability to work independently, but comfortable working in a collaborative environment.
- Proficiency in Microsoft Office products, including Word, Excel, and PowerPoint.
Bachelor's degree plus a minimum of five years of transactional paralegal/contract administration experience. Experience drafting confidential disclosure agreements, simple agreement amendments, and other types of legal documents. Work experience in a law firm or company; preferably a global organization. Intellectual property and patent experience a plus, but not required. Certified Paralegal certificate a plus.
