Co-ordinator: Company Secretary South Africa
Provide Company Secretarial Support to MTN Group structures such as the Group Commercial Committee, Group Technical Committee, Monthly Review Meetings, Quarterly Review Meetings, Directors’ Fees Administration and facilitation of compliance with statutory requirements and company law in terms of filing of documents and forms – thereby ensuring to ensure the effectiveness of the MTN Group structures and statutory compliance by MTN Group and associated entities incorporated in South Africa.
KPA Duties
1. Key Tasks: Monthly Review Meetings · Draft and transmit Monthly review meetings notices; · Collate feedback for action points arising from the previous meeting; · Prepare and distribute Monthly review packs to stakeholders; · Attend Monthly review meetings and taking minutes thereof; circulation of action point and minutes for comments and action. Technical and Commercial Committee · Send notice out to members of the Technical and Commercial Committee, Draft agenda and send to the Chairman for approval; · Send approved agenda to committee members, Collate submissions from relevant committee members and stakeholders as per the agenda; and collating feedback for action points arising from the previous meeting. · Communicate deadlines and reminder for submissions to committee members; · Prepare and distribute committee packs; and also ensure that the recording as well as the teleconference facilities are ready for the meeting; · Prepare attendance register before the meeting; · Record proceedings of the meetings; · Produce minutes together with action points. · Circulate minutes and action points for comments and action. Quarterly Review Meetings · Prepare agenda and take to the Chairman for approval; collate action points from relevant stakeholders; Prepare packs and distribution thereof to members; · Organize catering for Quarterly review meetings; · Prepare name tags for attendees, Attend meetings and prepare minutes, Prepare action points thereof as well as circulation to stakeholder for comments and action. Company Secretarial Support to SEA Region and MANCO and Other Stakeholders · Provide information/documents to relevant stakeholders as and when required; Company Secretarial Departmental Meeting · Send notices, Prepare agenda and packs for Cosec Departmental meetings as well as taking minutes thereof; · Prepare and circulate action points and minutes for comments. CIPRO & Administration · Prepare and submit all relevant documents, returns and records to the Registrar of Companies (prepare CM forms for:- appointment and resignation of directors, registration of special resolutions, registration of allotment of shares and lodgment of Annual returns); · Receipt and review of supplier invoices, Prepare documentation for approval of payment; · Ensure proper filing of statutory records; Directors Fees · Collate attendance registers from MTN Group and subsidiaries and constantly ensure that Directors payment complies with approved Directors fee schedule; Prepare directors fees schedules (both individual and consolidated) for Group and Opcos; · Review Directors fees with Consultant Secretary before signoff; Liaise with Finance and Tax department for PAYE computation. · Prepare directors fees letters for signoff; Ad-Hoc Functions · Assist with the retrieval of document as when requested and assist with preparation of Group Board packs. · Perform various functions assigned by Consultant and Assistant Company Secretary; · Attend to various issues from internal clients including request for information and documents;
Requirements
Education: Grade 12 and CIS (or similar qualification)
Experience: 12 to 24 months experience in Company Secretarial environment
· People skills and cross cultural skills · Ability to adapt to changing requirements of customers · Organisational skills with ability to prioritise and manage time · Confidence to communicate with people at all levels · Literacy skills
