Senior Counsel IS/IT SABMiller - Zug near Zürich, Switzerland

Key Purpose Statement:

  • Work closely with the General Counsel and the IT/IS procurement category team as well as the group IT/IS teams to identify and resolve complex legal issues across multiple jurisdictions.
  • Draft and negotiate complex contractual arrangements for regional and global IT/IS projects in close collaboration with the commercial category teams.
  • Provide support across the procurement lifecycle by advising category teams on all aspects of contract design, development, implementation and ongoing management.
  • Train category teams on legal issues/good contracting practice.
  • Advise category teams on supplier accreditation.
  • Monitor legal/regulatory developments applicable to Trinity/categories.
  • Advise on Trinity's rights/ obligations when disputes arise.
  • Instruct external legal to support particular negotiations/disputes and liaise with local legal advisors on all local law issues.

The position will report directly to the General Counsel.

Organisational Context

The Senior Counsel will focus providing support to the General Counsel and IT/IS category teams across the procurement lifecycle. The position will report directly to the General Counsel.

The Senior Counsel will support the procurement team IS/IT by assisting o identify and resolve complex legal issues, involving external legal resource appropriate, across the entire procurement lifecycle.

Key Responsibilities

The role will facilitate and align strategy development, build capabilities and manage complex internal and external stakeholder relationships ensuring supplier performance and sustainable development approaches are implemented across the Trinity Procurement and its suppliers.

1) Strategy and Operations:

  • Advise category team on Category Designs
  • Prepare template terms for specific categories
  • Draft and negotiate Hardware and Software Procurement contracts, Licence, Services and Outsourcing Contracts
  • Ensure Category Design does not offend any law
  • Prepare standard terms for "lesser" contracts
  • Support IT/IS Category teams in negotiation of major contracts
  • Advise Category teams on Supplier accreditation
  • Advise Category teams on execution of documents
  • Train Category teams on legal issues/good contracting practice
  • Monitor legal/regulatory developments applicable to Trinity/categories
  • Advise on SABMiller’s rights/ obligations when disputes arise
  • Instruct external legal to support particular negotiations/disputes
  • Liaise with local legal advisors on all local law issues

2) Team:

  • Work with other members of the Trinity Legal Team, Trinity Procurement, and when required, SABMiller Group, SABMiller local and external legal teams.
  • Work with the category teams to provide legal support for procurement contracting and provide legal training and skills transfer.

Knowledge and Experience Required

  • Fully qualified Lawyer either qualified in the UK or in other jurisdiction with proven track record in common law practice
  • Minimum of five (5) years of post-qualification experience
  • Solid academics
  • Significant experience in a broad range of Information Technology and Commercial matters including outsourcing, procurement of high value hardware and software projects, data protection, Software Licences and IT services.
  • Experience working in a international legal role either in a multinational company’s legal department (preferably) or in a global law firm with strong focus on commercial law and proven track record in business savvy and pragmatic consultancy of international clients (in-house secondment experience).
  • Extensive experience of working with complex, often multijurisdictional, contracts
  • Experience of working as a legal ‘business partner’ and an understanding of information technology
  • Extensive stakeholder management in a complex decentralised global environment
  • Experience of successfully influencing across complex organisations
  • Excellent written and spoken English; German and additional languages skills welcome.

Trinity Procurement GmbH (“Trinity”) was formed to manage the global procurement activities of SABMiller plc, one of the world’s largest brewers with brewing interests and sales and distribution agreements spanning six continents. Located in Steinhausen in the Canton of Zug, Switzerland, Trinity creates value for its customers and investors through excellence in procurement across an extensive range of commodities and components, including brewing materials, packaging materials, capital equipment, marketing materials and other assets and business consumables and services.
