Job Description

We are looking for one or two additional associates to join our London funds group, which currently comprises three partners and nine associates working full time on investment funds matters as well as a partner who covers retail investment funds as part of his leadership of our retail financial services practice. A key feature of our funds group is that we offer an integrated service covering corporate, partnership and trust law, as well as regulatory and tax advice, with all relevant competencies in our core team. In addition, as well as having US-qualified funds specialists in London, the group also works closely with colleagues throughout our network offices servicing the needs of our clients across the globe. The group is small and close-knit enough to be welcoming and supportive, but sufficiently large not be insular or stifling.
We are active in many regions, including Europe, the US, MENA, Asia and in emerging markets such as India and China. Our practice is deliberately broad, spanning different asset classes and fund types, including:
  •   classic private equity
  •   real estate and infrastructure funds
  •   listed funds of all types
  •   retail funds
  •   hedge funds and other alternative strategy funds
  •   fund based structured products
We also: 
  •    advise on the use of fund vehicles in corporate finance transactions, joint ventures and consortia
  •    provide support to our M&A and securities teams on transactions in the asset management sector
  •    assist fund clients in ensuring transactions are compatible with their overall structures


Key Responsibilities and Deliverables

  • Reviewing, drafting and negotiating constitutional documents and agreements
  • Advising on the regulatory treatment of the managers and other fund functionaries
  • Advising on financial promotion and marketing issues
  • Liaising with our tax specialists in relation to complex UK and international tax issues
  • Advising on fund reconstructions, mergers and liquidations
  • Advising on the formation of asset manager/fund joint ventures
  • Structuring and implementing management incentivisation arrangements
  • Acting for institutional investors on fund investments, including reviewing and negotiating terms
  • Supporting our network of offices around the world


Key Requirements

  • Previous experience of advising clients within the investment funds/asset management sector
  • Ideally, experience of working in another highly rated funds practice

Rolling recruitment program. Salary range is approximately £60,000 - £70,000 depending on PQE level and the seniority of particular role.
 
Where we indicate a band of PQE for a role, this indicates how long we would expect a lawyer to take to gain the level of experience required in an appropriate legal context. It does not preclude applications from those with more or less PQE who can demonstrate that they have acquired the relevant experience.
