Attorney Advisor (General) - OPIC
This position is located in the department of Legal Affairs of the Overseas Private Investment Corporation (OPIC). The successful candidate will serve as a Senior Commercial Counsel and advise on the legal and policy aspects of OPIC's finance, private equity investment funds and political risk insurance programs. Work includes negotiating and preparing loan documentation and closing transactions. The types of financing vary from project finance, infrastructure loans, loans to SMEs and microfinance institutions, to loans to private equity funds. The loans can be high or low in dollar values but often involve complex negotiation and documentation. The projects are always located in a developing country.
The incumbent will be responsible for the following:
Managing legal issues for a portfolio of OPIC projects in the full spectrum of OPIC business lines: project, asset-based, and corporate financing, financing for private equity funds and other financial intermediaries, special assets, political risk insurance and insurance claims and insuring timely, high quality legal support to these projects. Since many of the transactions are done in-house, handles the entire loan documentation and negotiation process. With respect to loans where outside counsel has been retained, acts as head of the legal negotiating team ("first chair") in complex, multi-million dollar international transactions involving U. S. sponsors of infrastructure projects, such as renewable energy and renewable resources, as well as projects in the manufacturing and service industries. Supervises the partners and associates of outside private legal firms who are procured to supplement OPIC's legal team in completing transactions. Provides legal advice on a variety of matters involving the following: for direct finance transactions, preparing and negotiating loan agreements, project completion agreements, guarantees, pledges, mortgages, assignments, and debt service reserve agreements. Experience in reviewing project documents, such as, concession agreements, power purchase agreements, and engineering, procurement and construction agreements is a plus. For private investment funds, provides legal advice in connection with structuring, negotiating, and documenting OPIC's financing for the fund. Experience in fund formation and reviewing limited partnership agreements is a plus. For special assets, provides legal assistance in connection with restructuring, negotiating, and documenting the OPIC workouts, bankruptcies, and collection actions. Experience in cross-border workouts, bankruptcies and collection actions is a plus. For political risk insurance transactions, drafts and reviews insurance and reinsurance contracts, analyzes insurance claims and drafts determinations as to their validity.
