Legal Contracts Administrator - Gilead | Italy


This role will support the Head of Legal Department and Business Conduct Manager in performing the following:
1) Data Privacy (Legislative Decree no. 196/2003):
- Update of policies and related actions on company population (included new employed);
- Contract management (data processor appointment, etc.);
- Archive
2) Company Secretary:
- Draft calls of Board of Directors, Ordinary and Extraordinary Shareholders’ Meetings as requested;
- Attend meetings and support Head of Legal in drafting minutes;
- Coordinate Public Notary and other registration duties as requested;
- Grant ordered maintenance of social books, as required by Italian law and policies.
3) Contract management:
- Support maintenance and systematization of standard contracts;
- Grant internal client with updated and adequate standard contract, on a specific need basis;
- Assist internal client in drafting and reviewing draft of agreements sent/received to/by Counterpart as well as any other document and/or annex supporting each single deal;
- Manage and evaluate changes proposed to standard contract by Counterpart and escalade to the Head of Legal as appropriate, always granting highest standard of precision safety for Gilead;
- Support internal client in finalizing the signature process;
- Archive appropriately original copy of the contract once executed by the parties.
4) Compliance Board:
- Schedule weekly meetings, keep an updated agenda on any request of examination from Department and attend the Board as Secretary;
- Gather in due time documents and information supporting the initiative submitted to the Board’s;
- Minutes drafting in each meeting – search for Board’s members final approval on each single matter discussed, circulate such minutes among relevant functions and archive decisions and relevant documentation examined.
5) Training:
- Support in scheduling and drafting PowerPoint presentation;
- Attend training and support as requested
6) Audit:
- Attend any scheduled audit performed by the Legal and Compliance Function
  • Knowledge, Experience and Skills:     •Strong verbal, written, interpersonal and telephone communication skills;
  • Excellent business and legal English knowledge, both verbal and written;
  • Strong customer service orientation while maintaining a high level of integrity and confidentially with each interaction;
  • Organizational skills and ability to perform in a high paced, deadline intensive environment;
  • Good attention to detail and ability to consistently meet high standards of quality;
  • Ability to work using well-defined procedures and independently take ownership for work product;
  • Competence in Microsoft Excel, Microsoft Word and Microsoft Outlook, and comfort learning new information technology systems as required case by case.
  • Degree in Law from a major Italian or EU University (full course: 2+3 years);
  • 2+ years qualified trainee at a major Italian Bar Association (Milan, Turin, Venice, Bologna or Rome);
  • Must have prior industry or law firm experience as a paralegal;
  • Provenience from pharmaceutical sector or large law firms, as well as qualification as an Italian Lawyer will be considered as a plus.
