Sr. Software Licensing Attorney – Brazil

Responsibilities
In this role, the primary responsibilities will include (but are not limited to):
  • Provide legal services to clients, focusing on software licensing transactions, professional services agreements, and other agreements in support of the sale and provisioning of software related products and services
  • Lead the negotiation of sales agreements from a legal perspective
  • Review and coordinate revisions to contracts with the finance and sales departments
  • Understand impacts of financial principles on contracts, including USGAAP, revenue recognition, and tax and explain ramifications of contractual language or new business ventures to key stakeholders;
  • Work with members of the legal and finance departments on issues of general corporate law and compliance.
  • Advise on matters necessary to protect the business from undue liability exposure and litigation risk;
  • Manage the protection of Intellectual Property and execute within agreements;
  • Provide legal counsel on issues arising from actual or anticipated disputes;
  • Anticipate and guard against legal risks facing the company;
  • Advise management on proper legal course for various legal situations.
Qualifications/Skills Required and Preferred
  • Graduate from an accredited law school;
  • A minimum of five (05) years experience as a practicing attorney negotiating software licensing agreements;
  • Substantial familiarity working with U.S. Generally Accepted Accounting Principles (GAAP) as they relate to software
  • Ability to assess the business needs of the sales force; independently analyze key terms in agreements to obtain the necessary objectives; meet business-driven deadlines and commitments while maintaining a high level of quality and professionalism; interface with customers and members of the legal, financial/revenue recognition, sales, and other stakeholder teams to bring deals to closure
  • Ability to analyze business, financial, and legal risks and develop and communicate creative solutions and mitigation strategies for key negotiation points
  • Excellent verbal and written communication skills. Fluent in Portuguese, Spanish & English;
  • Knowledge of corporate and regulatory compliance a plus
