Hernic Ferrochrome Company Secretary

Hernic Ferrochrome (Pty) Ltd, a subsidiary of Tokyo-based Mitsubishi Corporation, is the 4th largest integrated Ferrochrome producer in the world, situated in Brits, North West Province, about 30km from Pretoria, 50km from Johannesburg and 15km from the Hartbeespoort Dam.

The organisation is an integrated mining company, which has its own chrome ore resources as well as four furnaces, one of them being the biggest ferrochrome-producing furnace in the world.

Company Secretary

The successful candidate will administer the affairs of the Company, manage the business of the Board and provide advice in the implementation of good governance practices in the organisation. He/she will:
• Organise, prepare agendas and take minutes of Exco, Board, Shareholders and Annual General Meetings • Originate documents for circulation to Directors and shareholders • Advise Exco and Board members on the legal governance of proposed policies and procedures • Monitor changes in legislation pertaining to Company matters and ensure compliance with relevant legal requirements, particularly under Company’s acts and regulations • Liaise with external regulators and advisors, such as lawyers, auditors and other relevant parties • Manage and facilitate the acquisition of land and, where applicable, obtain entitlements for Hernic • Ensure that the company complies with all legal requirements and governance issues.

Requirements: • BCom/LLB • Admitted Attorney • 7-10 years’ post-qualification experience • Experience as Company Secretary, especially in mining, with sound knowledge of mining, commercial, safety and environmental legislation would serve as an advantage • Detailed knowledge of Companies Act, 2008, and King III requirements • An understanding of the Mining Charter and Mineral Petroleum Resources Development Act • Excellent communicator to handle shareholder and director relations • Good drafting skills • Knowledge of MS Office.
