Reports to: Senior Legal Officer (Lending and Banking)

SECTION 1 — POSITION SUMMARY

Position Objective:

To create and maintain the legal framework related to a wide range of activities of the ESM and the EFSF.

Key Accountabilities:

  • Create and maintain the legal framework for the activities of ESM and EFSF (drafting, advisory support, conclusion of agreements and completion of all related legal formalities) and monitor the same from a legal point of view, with a particular focus on lending transactions and those transactions requiring legal banking expertise in relation to the legal design and implementation of banking related aspects of financial assistance provided by the ESM and the EFSF where part of such assistance is used to support financial institutions;
  • Implement the legal aspects and follow up on all financial assistance operations;
  • Advise on corporate, financial and securities law with regard to various jurisdictions as well as EU law and public international law;
  • Participate in the decision-making processes on a wide range of issues related to the organisations activities, including institutional issues, funding, lending and other financial assistance operations, issues relating to the administration of the organisation, risk management and litigation;
  • Participate in the preparation of meetings of governing bodies of ESM, in particular the Board of Directors and the Board of Governors, and EFSF, in particular EWG and Board of Directors;
  • Participate, when appropriate, in the legal design and implementation of banking related aspects of Member States receiving financial assistance where part of such assistance is used to support financial institutions;
  • Support ESM country teams in the banking related legal aspects of such assistances Provide legal banking and lending expertise in internal committees;
  • Participate in conferences and exchange of views from a legal standpoint with professional committees and with other institutions;
  • Supervise the work of external service providers, such as international law firms, and other third parties;
  • Support the legal team in managing all legal aspects of ESM and EFSF;
  • Conduct research, develop legal studies and keep being informed on legal matters and important trends which have an impact on the operations of ESM and EFSF;
  • Produce excellent results under tight deadlines;
  • Report on trends and developments of the regulatory environment;
  • Complete the administrative tasks related to the above responsibilities.

  • Frequent interaction with various ESM departments and external lawyers from leading international law firms.

SECTION 2 — REQUIRED KEY SKILL SET AND PREFERRED PERSONAL ATTRIBUTES

KEY SKILL SET

  • Very good skills and substantial experience in drafting and reviewing legal documentation;
  • Thorough understanding of the operational environment of an international financial institution.

SECTION 3 — FORMAL QUALIFICATION AND EXPERIENCE REQUIREMENTS

FORMAL QUALIFICATIONS:

Essential:

  • University degree in law. A specialised master's degree (LL.M) would be an asset;
  • More than 5 years of relevant experience, in particular with lending and banking transactions;
  • A good understanding of macroeconomics and finance;
  • Fluent (spoken and written) in English and either French or German.
Desirable: Any other language skills are considered an asset.
